1. Acceptance of Terms
By accessing hbitcorp.com or engaging Hinton Bit Corp (“we”, “our”, “the Company”) for software development, consulting, or AI integration services, you (“Client”, “you”) agree to be bound by these Terms of Service (“Terms”). If you are entering into these Terms on behalf of an organisation, you represent that you have the authority to bind that organisation.
These Terms govern the general use of our website and form the baseline framework for our client engagements. Project-specific terms are covered in individual Service Agreements and Statements of Work, which take precedence over these Terms where they conflict.
If you do not agree to these Terms, you must not use our website or engage our services.
2. Services
Hinton Bit Corp provides the following categories of services to government agencies, defence organisations, law enforcement bodies, and select private entities:
- Enterprise Software Development: Custom web applications, internal tooling, workflow automation, and system integration.
- Intelligence & Security Platforms: Design and deployment of situational awareness software, analytics, and security systems.
- ERP Systems: Government-grade enterprise resource planning solutions tailored to public sector workflows.
- AI Integration: Applied machine learning, computer vision, and intelligent automation embedded into existing or new systems.
- Consulting: Technology strategy, architecture review, and digital transformation advisory.
Each engagement is governed by a separate Statement of Work (“SOW”) or Service Agreement. These Terms apply in the absence of more specific contractual provisions.
3. Intellectual Property
Our IP: All pre-existing methodologies, frameworks, libraries, tooling, and proprietary approaches owned by Hinton Bit Corp prior to an engagement remain our exclusive property. We retain the right to reuse generalised techniques and non-client-specific innovations across engagements.
Client IP: All bespoke deliverables (source code, documentation, design assets, and data models) created exclusively for and paid for by you under a SOW transfer to your ownership upon full payment of all invoices, unless otherwise specified.
Joint IP: Where deliverables incorporate our pre-existing IP alongside client-specific work, we grant the client a perpetual, non-exclusive, non-transferable licence to use those components within the scope of the delivered system.
Restrictions: You may not reverse-engineer, resell, sublicense, or redistribute any component of our proprietary frameworks without explicit written consent.
4. Confidentiality
Both parties acknowledge that during engagements they may have access to confidential information (“Confidential Information”) including technical specifications, source code, business processes, client lists, and government data.
Both parties agree to:
- Hold all Confidential Information in strict confidence
- Not disclose Confidential Information to any third party without prior written consent
- Use Confidential Information only for purposes of fulfilling obligations under the engagement
- Apply at minimum the same safeguards used to protect their own confidential information, but no less than reasonable care
These obligations survive termination of any agreement by five (5) years. In the case of classified government data, stricter obligations aligned with applicable government security protocols apply.
5. Data Handling
Where services involve access to government or citizen data, Hinton Bit Corp operates under strict data handling protocols:
- We process data only as directed by the client (“data controller”)
- We implement appropriate technical and organisational security measures
- We do not access, copy, or retain client data beyond the scope required by the engagement
- We support clients’ data subject rights obligations
- We report data security incidents to the client within 48 hours of discovery
A Data Processing Agreement (“DPA”) will be executed alongside any SOW that involves processing of personal data. The DPA takes precedence over these Terms for data-related matters.
6. Payment Terms
Project billing is governed by the relevant SOW or Service Agreement. General payment terms:
- Invoices are due within 30 days of issue unless otherwise agreed in writing
- Government procurement engagements follow the payment schedule mandated by the relevant procurement authority
- Late payments accrue interest at 1.5% per month (or the maximum allowed by law, whichever is lower) after 30 days
- We reserve the right to suspend services for accounts more than 60 days overdue after reasonable notice
- All fees are exclusive of applicable taxes unless stated otherwise
7. Warranties & Representations
We represent and warrant that:
- We have the legal right to provide the services described in any SOW
- Services will be performed with reasonable skill and care by qualified professionals
- Deliverables will conform to the specifications agreed in the relevant SOW
- We will comply with all applicable laws and regulations
Disclaimer: The website is provided on an “as is” and “as available” basis. We make no additional warranties, express or implied, including merchantability or fitness for a particular purpose, regarding the website itself.
8. Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total liability for any claim arising under or in connection with these Terms or a project engagement shall not exceed the total fees paid by the Client in the three (3) months preceding the event giving rise to the claim.
- Neither party shall be liable for indirect, incidental, consequential, special, or punitive damages (including loss of data, revenue, goodwill, or profits) even if advised of the possibility.
- Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any matter that cannot be excluded by law.
Government clients: Liability caps may be explicitly negotiated and superseded in individual contracts.
9. Termination
Termination for convenience: Either party may terminate an engagement with 30 days’ written notice. The Client shall pay for all work completed and costs incurred up to the termination date.
Termination for cause: Either party may terminate immediately if the other:
- Materially breaches these Terms or an SOW and fails to cure within 14 days of written notice
- Becomes insolvent, enters administration, or ceases to carry on business
- Engages in conduct that is unlawful, fraudulent, or harmful
Effect of termination: Upon termination, we will deliver all completed work to the Client, each party will return or destroy the other’s Confidential Information, and payment obligations for work completed remain due.
10. Governing Law & Dispute Resolution
These Terms and any related Service Agreements are governed by the laws of the People’s Republic of Bangladesh, without regard to conflict of law principles.
Dispute resolution process:
- Step 1: Negotiation: Parties shall attempt to resolve disputes through good-faith negotiation within 30 days of written notice.
- Step 2: Mediation: Unresolved disputes shall be referred to a neutral mediator agreed upon by both parties.
- Step 3: Arbitration/Litigation: Disputes not resolved through mediation shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
Nothing in this section prevents either party from seeking urgent injunctive relief.
11. General Provisions
Entire Agreement: These Terms, together with any executed SOW or Service Agreement, constitute the entire agreement between the parties and supersede all prior representations, negotiations, or understandings.
Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
No Waiver: Failure to enforce any provision does not constitute a waiver of that provision or any other.
Force Majeure: Neither party is liable for failure to perform due to causes beyond reasonable control, including natural disasters, government actions, civil unrest, or internet infrastructure failures, provided prompt written notice is given.
Amendments: We may update these Terms from time to time. Continued use of the website or services constitutes acceptance of updated Terms. Material changes will be communicated with reasonable notice.
